Senior VP and General Counsel Job #078-14

Location: Westford, MA

Position Description:

The general counsel must have a desire to become involved in all aspects of the Company that require legal input. The general counsel must be a team player and able to work well with employees at all levels of the Company. The legal department includes one attorney serving as chief intellectual property counsel and one senior paralegal. Though small, the legal department strives to perform as much of the Company’s legal work internally as possible. As such, the general counsel must work on various tasks from simple contracts to complex acquisitions.

Essential Duties and Responsibilities: include, but are not limited to, the following:

  • Manage compliance with corporate laws and regulations, including understanding requirements, establishing and managing compliance programs, completing SEC and other government filings and training employees.
  • Assist in preparing for Board of Directors and Board Committee meetings and Annual Shareholders Meeting.
  • Examine business practices, ensure that they are aligned with requirements of law, and provide advice regarding business practice risk. Ability to clearly articulate and defend risk analysis.
  • Prepare, negotiate and review various contracts, including but not limited to business, sales, clinical, consulting, vendor, distribution, non-disclosure, marketing, etc. Ability to understand Company’s technology and its impact on legal issues. Ability to negotiate and draft complex business and technology development agreements.
  • Manage all Company litigation. Investigate claims to determine advisability of defending or prosecuting lawsuits. Assist in negotiating settlements where appropriate. Assist in collections issues.
  • Manage legal aspects of foreign subsidiaries.
  • Manage legal aspects related to employment issues.
  • Manage patent law issues.
  • Manage legal aspects related to mergers and acquisitions, including planning and completing due diligence and participating in negotiations and drafting agreements.
  • Respond to marketing issues and questions.
  • Respond to legal questions related to FDA and other regulations.
  • Research and analyze law sources such as statutes, legal codes, etc.

Critical Competencies:

  • Must be a self-starter, highly analytical, with strong critical thinking skills and ability to draw conclusions and make decisions using sound logic and reasoning; ability to be effective and decisive under pressure; ability to implement practical, cost-effective business solutions.
  • Well organized with superior time/priority management skills, including the ability to handle a variety of projects simultaneously with minimal supervision, and the ability to prioritize to meet tight deadlines and adjust to workload fluctuations.

Behavioral and Interpersonal:

  • Strong interpersonal skills: ability and desire to develop positive relationships and work cooperatively with legal department colleagues, business unit managers/employees, and external entities such as outside counsel, customers, vendors, suppliers or other business partners. A good listener with outstanding interpersonal skills and a natural, effective consultative style.

Supervisory Responsibility:

  • Lead the Legal team including chief intellectual property counsel and senior paralegal.

Education and Experience Requirements:

  • Must have a Juris Doctorate (J.D.) degree and have passed the Massachusetts bar exam.
  • Must have 10+ years of professional legal experience, including corporate law (public company), compliance, and contract.
  • Preferred experience but not required: medical device, mergers and acquisitions, and patent law.
